Terms of service

Effective date: October 24, 2026

These terms are an agreement between you and Narrow Ways Farm, LLC, doing business as Thinkfleet, a North Carolina limited liability company ("SKUFlow", "we", "us"). They cover the SKUFlow web app at app.skuflow.ai, the SKUFlow mobile app, the SKUFlow API, and the skuflow.ai website (together, "SKUFlow").

If you accept these terms for a business, you confirm you are authorized to bind that business, and "you" means the business. By creating an account, or by using SKUFlow, you agree to these terms and to our privacy policy. If you don't agree, don't use SKUFlow.

What SKUFlow is

SKUFlow is software for businesses that make, decorate and sell physical products, such as decoration shops, promotional products distributors, makers and online store operators: quotes and decoration pricing, art approval and proofs, an online product designer, supplier catalogs, purchase orders, production scheduling, shipping, online stores, invoices and payments, a customer portal, customer emails and texts, websites, an AI assistant, access for AI assistants through the SKUFlow API and MCP, and related tools. Some features are in early access and others are still being built. Features depend on your plan. We may change, add or remove features over time. If we remove a feature that is central to a paid plan, we will tell you in advance.

Accounts

  • You must be at least 18 and able to form a binding contract. SKUFlow is for business use, not personal or household use.
  • Sign-in is provided by our account provider, Base316. Give accurate information and keep it current.
  • Each login is for one person. Don't share logins. Each login can be signed in on two devices at a time (for example, a computer and a phone); a third sign-in signs out the oldest.
  • Keep your password and devices secure, and turn on two-factor sign-in. You are responsible for what happens under your account and for the people you invite to your business. Tell us right away at legal@skuflow.ai if you think your account has been compromised.
  • The account owner controls the business's account, its users and roles, and its billing.

Plans, trial and billing

Plans. SKUFlow has four plans: Core, Connect, Grow and Pro, billed monthly or yearly. Current prices and what each plan includes are on our pricing page. Prices are in US dollars and exclude taxes, which we will add where required.

Free trial. A new business gets a 14-day trial of the Grow plan, with no card required. If the trial ends without a payment method, the business moves to the Core plan with the paid plans' features turned off, and is not charged until it adds a payment method and chooses a plan. Nothing is deleted.

Payment and renewal. Paid plans are billed in advance for each month or year and renew automatically until cancelled. You authorize us (through Base316 and its payment processor) to charge your payment method for each period, and for usage and purchases described below. Plan changes, your payment method and invoices are managed in the billing portal (Settings → Billing).

Users. Each plan includes the number of users shown on our pricing page. You can't add a user above your plan's number; pending invitations count. Your own customers who approve proofs, use the product designer or order from your online stores are not users.

AI credits. Each plan includes a monthly allowance of AI credits, used by the AI assistant, review reply drafts and website writing. When the allowance and any purchased credits run out, AI features stop until the next month or until you buy more; they do not run up extra charges. Credit packs are used after the monthly allowance and expire one year after purchase. Unused monthly allowances don't carry over.

Text messages. Each plan includes a monthly allowance of text message segments. Segments past the allowance are billed at 2¢ per segment. To protect you from a runaway campaign, sending stops for the month at 10 times the allowance. Emails are not metered.

Changing plans. You can upgrade or downgrade at any time in the billing portal. A downgrade never deletes your data: you can still see everything you made, but features outside the new plan stop working and you can't add users above its limit.

Price changes. We may change prices. Changes apply to new subscriptions right away and to existing subscriptions from the next renewal after at least 30 days' notice. If you don't agree, you can cancel before the change takes effect.

Refunds. Fees are non-refundable, including for partially used periods, unused allowances and unused credits, except where the law requires otherwise.

Late payment. If a payment fails, we may limit paid features until it is resolved.

Payments from your customers (Stripe Connect)

SKUFlow lets you take card and bank (ACH) payments from your customers through Stripe Connect.

  • To take online payments you must open your own Stripe account through SKUFlow and be approved by Stripe. You manage that account in your own Stripe dashboard. Payment processing is provided by Stripe, and you agree to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. SKUFlow may share information about you and your transactions with Stripe, and Stripe may share them with SKUFlow, to provide the service.
  • Fees. SKUFlow does not charge a fee on online payments. Stripe charges its processing fees directly to your Stripe account, under your agreement with Stripe; they are shown in Settings → Payments and on each payment. We may introduce a SKUFlow payment fee only with notice under "Price changes".
  • You are the seller. You are responsible for your prices, your goods and services, refunds, chargebacks and disputes, taxes, and your customers' authorization for any saved card or automatic payment.
  • SKUFlow does not store full card or bank account numbers; they are entered on Stripe's pages.
  • Disconnecting Stripe stops new online payments and automatic charges. Your Stripe account and balance stay with Stripe.

Your data

You own your data. Everything you and your users put into SKUFlow, including your customers' information ("Your Data"), belongs to you. You give us permission to host, copy, process, transmit and display Your Data only as needed to provide, secure and support SKUFlow, as described in our privacy policy.

Your responsibilities. You are responsible for Your Data and for having the right to put it into SKUFlow, including any notices and consents your customers need. For your customers' personal data, you are the controller and SKUFlow processes it for you as your service provider. If you need a data processing agreement, email legal@skuflow.ai and we will provide ours.

Export. You can download reports and lists from the app, and you can ask us for an export of Your Data at any time, including for 30 days after your account closes. After that we delete it as our privacy policy describes.

Usage data. We may use information about how SKUFlow is used (for example, feature usage and performance), in a form that does not identify you or your customers, to run and improve SKUFlow.

Feedback. If you send us ideas or feedback, we may use them without obligation to you.

Texting, email and consent

SKUFlow sends emails and texts on your behalf, through the email and text providers you connect. You are the sender, and you are responsible for following the law, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing and texting laws, and your carriers' rules. In particular:

  • Text a customer only with their consent. Mark a number "OK to text" only when the customer has agreed, and get the stronger written consent the law requires before sending marketing texts.
  • Register for US A2P 10DLC before texting US numbers. On a SKUFlow-provided number, SKUFlow submits the registration with the details you give; they must be true and match your IRS records. On your own text provider, register through it.
  • Honor opt-outs. SKUFlow processes STOP and unsubscribe requests automatically; don't work around them or re-add people who opted out.
  • Don't send spam, misleading messages, or messages to purchased or scraped lists.

SKUFlow provides tools that help (consent per contact, quiet hours, opt-out handling, a footer with your business address), but they don't make your messages compliant on their own.

SKUFlow text alerts

SKUFlow's own text alerts are a separate program from the texts you send your customers. If you turn them on in Settings → Notifications, SKUFlow texts your mobile number from its toll-free number about your work and account: orders assigned to you or cancelled, and account, billing and integration alerts. Message frequency varies. Msg & data rates may apply. Reply STOP to cancel and HELP for help, or turn alerts off in Settings → Notifications. Alerts are optional and not required to use SKUFlow. Carriers are not liable for delayed or undelivered messages. Questions: support@skuflow.ai. Our privacy policy explains how we handle your number; we never share it for marketing.

Reviews

If you connect your Google Business Profile, you must follow Google's policies. In particular, ask every customer for a review the same way. Don't "gate" reviews (sending only happy customers to Google), offer incentives for reviews, or post fake reviews. Replies you post from SKUFlow are public on Google.

AI features

SKUFlow's AI features (the AI assistant, plus review reply drafts and website writing) use AI models from Anthropic.

  • AI can be wrong. Output may be inaccurate, incomplete or inappropriate. Review it before you rely on it, send it or publish it. SKUFlow shows drafts for review and asks you to approve every change the AI assistant proposes; once you approve or publish, the result is yours.
  • Don't use AI features for decisions that need professional judgment (such as legal, tax or safety decisions) without checking them.
  • You own the output you create with AI features, to the extent the law allows. Similar output may be generated for others.

Websites

If you publish a website with SKUFlow:

  • You are responsible for everything on it: text (including text drafted by AI), photos, prices, claims, licenses and reviews, and for having the right to use any content you upload. Don't publish false or misleading claims.
  • Stock photos come from Unsplash and Pexels under their licenses. SKUFlow credits the photographers on your site, as those licenses ask; don't remove the credits. Uploaded images must be yours or licensed to you.
  • You are responsible for your own domain name. If you take your site down or cancel, it goes offline.
  • You are responsible for any notices your website needs, such as a privacy notice for your visitors.

Acceptable use

Don't use SKUFlow to:

  • break the law or anyone's rights, including privacy, consumer protection, anti-spam and intellectual property law;
  • send spam or unsolicited messages, or collect people's data without permission;
  • upload malware, or anything illegal, harassing, hateful or sexually explicit;
  • probe, scan or test SKUFlow's security, get around its limits or plan controls, or access another business's data;
  • overload SKUFlow, or scrape it by automated means other than our API;
  • copy, resell or reverse engineer SKUFlow, or build a competing product with it;
  • use the API or webhooks in a way that harms SKUFlow, its users or anyone else.

We may suspend messages, features or accounts that break these rules or put SKUFlow, our users or the public at risk. Where we reasonably can, we will tell you first and give you a chance to fix it.

Third-party services

SKUFlow works with services you choose to connect, such as Stripe, Google Business Profile, QuickBooks Online, Twilio and email providers. Your use of them is governed by their terms, and you are responsible for your accounts with them. We are not responsible for third-party services, and we may stop supporting one if it changes or ends.

Our intellectual property

SKUFlow, including its software, design and documentation, belongs to us and our licensors. We give you a limited, non-exclusive, non-transferable right to use SKUFlow for your business while your account is in good standing, under these terms. We keep all rights not expressly granted.

Availability and support

We work to keep SKUFlow available and your data safe, but we don't promise uninterrupted service, and there is no service level agreement unless we agree to one in writing. We may need downtime for maintenance and updates; we try to schedule it at quiet times. Support is by email and chat.

Cancellation and termination

  • By you. You can cancel your subscription at any time in the billing portal. Cancellation takes effect at the end of the paid period.
  • By us. We may suspend or end your access if you materially break these terms (including non-payment) and don't fix it within a reasonable time after notice, immediately if needed to prevent harm or comply with the law, or with 30 days' notice for any other reason. If we end your account for no reason of yours, we will refund any prepaid fees for the unused period.
  • After termination, your right to use SKUFlow ends. You can ask for an export of Your Data as described under "Export". Sections that by their nature should survive (such as fees owed, ownership, disclaimers, limitation of liability, indemnity and governing law) survive.

Disclaimers

SKUFLOW IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SKUFLOW WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT MESSAGES WILL BE DELIVERED. SKUFLOW DOES NOT GIVE LEGAL, TAX OR ACCOUNTING ADVICE; YOU ARE RESPONSIBLE FOR YOUR OWN COMPLIANCE, TAXES AND RECORDS.

Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF TOLD THEY WERE POSSIBLE.
  • EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR SKUFLOW WILL NOT EXCEED THE AMOUNTS YOU PAID TO SKUFLOW IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
  • THESE LIMITS DO NOT APPLY TO YOUR OBLIGATION TO PAY FEES, TO YOUR INDEMNITY OBLIGATIONS, OR TO LIABILITY THAT CANNOT BE LIMITED BY LAW.

Platform fees and Stripe's processing are covered by the Stripe agreements as well as these terms.

Indemnity

You will defend and indemnify SKUFlow and its officers, employees and contractors against any third-party claims, and the resulting losses, damages and costs (including reasonable legal fees), arising from Your Data, your messages and websites, your goods and services, your dealings with your customers, or your breach of these terms or the law. We will tell you promptly about any such claim, let you control its defense, and cooperate reasonably at your expense. You may not settle a claim in a way that admits fault for us without our consent.

Governing law and disputes

These terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws rules. Any dispute will be brought in the state or federal courts located in Cabarrus County, North Carolina, and both parties consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other for at least 30 days.

Changes to these terms

We may update these terms. We will post the new version here with a new effective date, and for material changes we will tell account owners by email or in the app at least 30 days before they take effect. Continuing to use SKUFlow after a change takes effect means you accept it. If you don't agree, cancel before then.

General

  • Entire agreement. These terms, the privacy policy, and any order form or written agreement we sign with you are the whole agreement between us about SKUFlow. If they conflict, a signed agreement wins.
  • Assignment. You may not transfer these terms without our consent. We may transfer them to an affiliate or a successor in a merger, acquisition or sale of assets.
  • Severability and waiver. If a part of these terms can't be enforced, the rest still applies. Not enforcing a term isn't a waiver of it.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, except for paying fees.
  • Notices. We send notices to the account owner's email address. Send notices to us at legal@skuflow.ai.
  • Independent parties. We are independent contractors; these terms don't create a partnership or employment relationship.
